What will I learn on this module?
You will develop a basic understanding of core legal principles and key aspects of Business Law appropriate to your area of study. The core legal principles will be taught including the course of four main subject areas;
• Contract Law, including the formation of a legal contract, the differences between terms in a contract and remedies for breach of contract,
• Sale of Goods and Supply of Services,
• Employment Law, including principles of employment contracts, duties of employers and employees, discrimination and dismissal; and
• Tort Law, including principles of negligence, vicarious liability, product liability, occupier’s liability together with nuisance.
The second half of the module will build upon these core legal principles so that you develop a more bespoke understanding of Business Law and practice. This will cover nine specific topics;
• Legal Forms of Business Association,
• Formation of a Company,
• Directors, including appointment, removal, service contracts and legal duties,
• Shareholders, including types of shares and the split between ownership and control,
• Company Procedure, including the types of resolutions to be passed and meeting procedures,
• Raising Capital through equity and debt,
• Company Accounting Requirements and Auditors,
• Corporate Insolvency, and
• Financial Crime, in the form of money laundering and bribery.
Through studying these substantive topics, you will gain an overall understanding of how the UK legal system or local equivalent operates and the inter-relationship between statute law and common law.
How will I learn on this module?
You will learn through a mixture of formal lectures and seminars. Through lectures you will be introduced to the theories, law and regulations underpinning the syllabus. Through seminars you will conduct a deeper examination of the theoretical concepts and the impact of these theoretical principles on corporate practice and behaviour. Seminars will also provide you with a forum to conduct a more detailed discussion of the issues. Technological resources such as ELP, online MCQ practice tests, Turning point and power point will provide a varied and innovative approach to the delivery of the materials and allow you to think about the lecture or seminar materials in different contexts.
You will experience a mixture of directed and independent learning. Directed learning may include a range of activities such as pre-reading, preparation for seminar activity, preparing for presentations, completing practice MCQs etc. Independent learning will also be required as part of your preparation for seminars and presentations which will include wider reading, reflection and independent research to provide a broader and deeper knowledge of the subject.
The use of case study material and relevant research will also provide you with an understanding of the wider practical and academic impact of the law.
Your learning will be supported by feedback within the contact sessions through case study activities and theory/practice related discussions.
How will I be supported academically on this module?
You will be supported in a number of different ways. The main support mechanism will be through feedback from tutors during seminars following debate and discussion around a number of preparatory and seminar based tasks on a given topic. Further guidance from tutors will be provided on the eLearning portal, particularly with regard to seminar tasks and assessment. Ongoing support will be provided via email and through arranging to meet tutors on a one to one basis to discuss any areas of concern.

• You will develop skills in analysing, summarising and evaluating case law and its interpretative effect in the application of statutes. (MLO2)

• You will also develop and reinforce the ethical characteristics of a Northumbria graduate through the consideration of the values that underpin the legal system, the judicial process, the role of directors and shareholders together with the ethical standards that companies should adhere to and reflect on how they connect with your own values. How will I be assessed?
The final assessment will take the form of a three hour closed book examination. The examination combines MCQs and written answers to legal questions. The MCQs will be weighted at 20% and will enable a detailed knowledge of the core legal principles and the legal aspects of business organisations to be assessed. The long-form legal questions will test levels of recall and comprehension of the key substantive areas taught.
Throughout the year, your tutors will be looking for, and developing, your ability to investigate and analyse problems. They will provide you with feedback on your answers and the presentations that you make in seminars.
This assessment will address MLO1, MLO2 and MLO3.

Module abstract
‘Business Law’ is an introductory legal module that will enable you to understand the wider legal and business context that your accounting practice fits within. You will understand the connection between accountancy and law in business and in the running of companies together with the wider legal framework that will be applicable to you in your accountancy role.
‘Business Law’ ensures that your comprehension of the key pillars of Business law is developed from a solid understanding of the core legal principles within the UK legal system or local equivalent. The delivery of ‘Business Law’ is enhanced through lectures and seminars being provided by ex-practitioners and use of case-study material to provide practical examples of how issues may manifest in the business world. Self-directed reading, research and delivery of presentations encourage the development of personal skills to allow you to become a reflective, analytical and articulate practitioner.
